M&A and Real Estate Matters

• Providing legal advice for an M&A case (transfer 50% of share capital) between a leading US real estate and entertainment Group and one of the leading Real estate companies in Ho Chi Minh City, Vietnam with the value of more than US$160 million to build a complex building for office, hotel and apartment in Ho Chi Minh City center;

• Providing legal advice for an M&A case (transfer 70% of share capital) between a leading US real estate and entertainment Group and one of the leading real estate companies in Hanoi - Vietnam with the value of more than US$80 million to build a high-class apartment building along West Lake;

• Providing legal advice for an M&A case (transfer 80% of share capital) between a leading real estate Group head office in Hong Kong and one of the leading real estate companies in Hanoi - Vietnam with the value of more than US$50 million to build a high-class apartment and office building in Hanoi center; 

• Providing legal advice for an M&A case (transfer 100% of share capital) between a leading Korean construction Group and one of the leading construction companies in Hanoi -  Vietnam with the value of more than US$30 million;

• Providing legal advice and drafting the business cooperation contracts in business, developing the real estate project industry for a State-owned Corporation in Hanoi with its partners to develop real estate projects on the basis of one party having the right to lease and other party having the financial capacity and experience in the real estate industry; 

• Providing legal advice relating to the construction of Complex Building, including: Hotel and Commercial Center near by Giang Vo Lake, Hanoi, Vietnam;

• Providing legal advice for an M&A case (transfer 100% of share capital) between a leading Korean construction Group and one of the leading construction Companies in Hanoi, Vietnam; 

• Advising on implementing the investment project on construction of the hotel, commercial center and townhouse in Tuy Hoa City, Phu Yen Province for a leading real estate company based in Ho Chi Minh City.

Investment and Corporate Matters 

• Advising on an investment project to build a Data Center in Hoa Lac high-tech Zone for a leading US high-tech company with the value of more than US$35 million;  

• Advising on and completing land lease procedures to implement 10 investment projects with the value of more than US$25 million at Phu Thi industrial zone in Hanoi for 10 leading garment companies in Hanoi, Vietnam;

• Providing advice to projects on human capacity building, strengthening education capacity and poverty reduction of international and non-governmental organizations such as World Bank, Oxfam and Plan in Southwest  and Northwestern areas of Vietnam; 

• Advising on and representing client to solve the dispute of an office rent contract and merchandise display space between a US fashion company and a business building in Hanoi center; 

• Advising on projects on investment and land lease in Hanoi and other provinces as Hai Phong, Quang Ninh, Hai Duong, Hung Yen, Vinh Phuc, Bac Ninh, Da Nang, Gia Lai, Ho Chi Minh City, Can Tho City for foreign and domestic enterprises;

• Providing legal advice and conducting procedures for registration of a long-term and medium-term foreign loan contract with State Bank of Vietnam for a Japanese Company in Vietnam; 

• Providing legal advice and representing for a Japanese company in a construction contract dispute related to a paint manufacturing plant with a Vietnamese construction company.

Energy 

• Providing legal advice for the Thai corporation, which specializes in manufacturing and trading power, on investment in construction of the 300MW solar power plant in Ea Sup District, DakLak Province;

• Providing legal advice on investment in construction of the wind power plant in Buon Ho District, Ea H’leo District and Cu M’gar District for the domestic and foreign partners;

• Providing legal advice on the transfer of shares of a Vietnamese company of 50MW solar power plant in Ninh Thuan Province to a Korean partner.

Intellectual Property Rights Enforcement

• Advising and representing for a US computer Group investigating and coordinating with authorities to handle violations of intellectual property rights of some computer trading companies in Vietnam;

• Advising and representing for a leading US television and entertainment Group investigating and coordinating with authorities to handle violations of intellectual property rights of a video compact disc trading company in Vietnam;

• Advising and representing for a Dutch dairy company investigating and coordinating with authorities to handle violations of intellectual property rights of a dairy company in Vietnam;

• Advising and representing for a US fashion company investigating and coordinating with authorities to handle violations of intellectual property rights of a trading company in Vietnam;

• Advising and representing for a German confectionery production company investigating and cooperating with authorities to handle violations of intellectual property rights of some confectionery production companies in Vietnam.
