SOME ISSUES RELATING TO THE ENTERPRISE PHYSICAL SEAL(09/03/2021)
According to the Law on Enterprises 2020, the seal of an enterprise can be a physical seal or a digital signature. The use of digital signatures will almost certainly ensure the authenticity of documents issued by the enterprise, but perhaps businesses will still have to keep the habit of using physical seals in the near future, when not all transactions can be concluded by electronic means. This article will present some issues relating to the enterprise physical seal under the current law that many businesses are interested in.

Theo Luật Doanh nghiệp 2020, dấu của doanh nghiệp có thể là con dấu vật lý hoặc dấu dưới hình thức chữ ký số. Việc sử dụng chữ ký số sẽ đảm bảo gần như chắc chắn tính xác thực của tài liệu do doanh nghiệp phát hành, song có lẽ doanh nghiệp sẽ vẫn phải giữ thói quen sử dụng con dấu vật lý trong tương lai gần, khi không phải giao dịch nào cũng có thể được xác lập bằng phương tiện điện tử. As is customary in Vietnam, the corporate seal is an important tool to verify the legality of documents issued by enterprises. However, as practice shows, it is not necessary to have too detailed intervention of state agencies in the use and management of the corporate seal. On that basis, the Law on Enterprises 2020 (effective from 01 January 2021) takes the direction of expanding the right of enterprises to self-determination related to the corporate seal.
