Hoang has many years of experience in legal practice related to direct investment, banking and finance, private equity, commercial and corporate matters. Prior to joining BROSS & Partners, Hoang had a successful career of more than 14 years with the biggest commercial bank in Vietnam. Remarkably, in 2007, Hoang was one of members of Commercial bank establishment-preparation board, being responsible for preparing dossiers of application for a establishing bank license and were this Bank’s Lawyer Inhouse. Sector expertise and experience gained from working in banking, and related companies is beneficial in that Hoang could assist clients to deal with those issues effectively.

M&A, Investment, Corporate and Real Estate Matters

• Responsible for preparing the application dossiers for establishing a joint stock commercial bank in 2007; being responsible for all intenal legal matters of such bank; advising and attending to prepare its chapter and over 120 internal regulations of such bank;

• Advising and preparing the business cooperation contract (BCC) between two real estate companies and a bank in order to develop a real estate project with the total scale of 12 hectares in Binh Chanh District, Ho Chi Minh City with the investment capital of over 1,000 billion Vietnam Dong;

• Advising in transaction structure for a Vietnamese real estate company and a Hong Kong investor in order to invest and develop a real estate project with the total scale of 843 hectares in Long Thanh District, Dong Nai Province;

• Advising a state-owned hospital and a private pharmaceutical company in Vietnam on a business cooperation contract (BCC) project of medical services with the total investment of total US$20 million;

• Advising and reviewing the four–star hotel management contract in Nha Trang City, Khanh Hoa Province between a Vietnamese leading real estate company and a management hotel company having its leading brand-name in Asia, with its registered offices in Hong Kong;

• Advising in transaction structure; advising and preparing a convertible loan contract between a foreign investor and a Vietnamese enterprise in order to invest a hotel in District 1, Ho Chi Minh City, provide that the foreign investor, through a company appointed by such foreign investor, has right to manage the investment project and manage and operate all operations of the hotel after such investment project to be completed;

• Advising, preparing and reviewing contracts, internal regulations for a 100% Italian-owned life insurance company in Vietnam;

• Advising, preparing and reviewing contracts for a 100% foreign-owned company in Vietnam investing application softwares for e-commercial activities in Vietnam;

• Advising on method in which may terminate a sale and purchase contract of diagnostic products attached to the testing equipment between a foreign-owned company owning seven strong brand-name hospitals in Vietnam and a leading pharmacy company in the world;

• Advising and assisting on establishment of the regulations system, contracts and internal management rules for various large companies.

• Assisting over 05 foreign investors in establishing their subsidiary in Vietnam (including advising and preparing application dossiers for issuing/adjustment of their investment registration certificates) to do business in distribution, software and production and advise on legal matters related to their post-licensing operation.

Dispute Resolutions

• Advising for joint venture company, which has owned a real estate project in District 2, Ho Chi Minh City, with a total investment of US$110 million, on the resolution of the dispute over a construction contract;

• Advising and assisting a listed company in confectionary in Bien Hoa in dispute with insurer in a claim of insurance compensation for factory fire with the claim value of over US$8 Million;

• Acting as legal advisor and defending lawyer for a commercial corporation in Hanoi in civil litigations of debt recovery with production and processing of starch companies before Vietnamese courts in Tay Ninh province;

• Advising and and defending lawyer for a Vietnamese largest scale non-life insurance company in the litigation of insurance money recovery with one of the largest ports in Ho Chi Minh City before Vietnamese courts;

• Advising and acting as an authorized representative of a 100% foreign-owned company producing steel in a labour litigation before Vietnamese court;

• Advising and acting as an authorized representative of a Taiwan company in a litigation of a import – export contract of cashew nut kernel before Vietnam International Arbitration Centre at Vietnam Chamber of Commerce and Industry (VIAC);

• Advising and assisting on settlement of internal dispute between major shareholders of a leading brand-name company in the field of retail books, film distribution in Vietnam;

• Acting as an authorized representative of the largest scale bank in Vietnam in settlement of its disputes.
