Regulatory Compliance

• Reviewing and advising on legal aspects of the Standard Security Trading Terms and Conditions of Thang Long Security Company to ensure the compliance with the applicable laws and regulations;

• Advising Ha Noi Trading Corporation, a large state-owned corporation, on various compliance matters such as tax, employment, contracts etc;
  

• Reviewing and advising on legal aspects of the Charter of Coalimex Joint Stock Company, a Vietnamese public company;
  

• Reviewing and advising on legal aspects of the Charter of Vinh Tan Investment and Urban Development Joint Stock Company;
  

• Reviewing and advising on legal aspects of Internal Labor Rules and other employment management documents of Asphalt Distribution Co. Ltd, a subsidiary of Highway Resources Pte Ltd (Singapore). 

M&A, Corporate and Investment

• Being a member of the legal team to advise a restructure project for a multinational feed producer (2011, 2012);
  

• Being a member of the legal team to conduct legal due diligence in the acquisition of 30% newly issued shares in a Garment Group of Vietnam by a Singapore company with transaction value close to US$6 Million, which was rated by Avalue Vietnam as one of the ten most effective M&A transactions (2009);

• Assisting a 5-star Hotel of Vietnam in reviewing and negotiating a Gaming Business Co-operation Contract with a Malaysian Entertainment Service Company;

• Advising many foreign investors on Vietnamese investment law including requirements and conditions for foreign investment in Vietnam, procedures to obtain investment licenses investment incentives; assisting them in other matters to set up their businesses in Vietnam such as land lease, premises construction, employment, taxes etc.
  

• Advising and assisting the establishment of the system of Regulations, Contracts and Internal Management Rules for various large companies. 

Construction-Engineering and Real Estate

• Being a member of the team to advise on the Engineering-Procurement-Construction (EPC) Contract between a local fertilizer company with Chinese contractors for a Plant Expansion Project valued US$370 Million;
  

• Advising a Korean real property developer to settle the collective dispute with house buyers;
  

• Advising a large Vietnamese house developer on various issues involving their house development project such as fund raising, drafting contracts, applying for house ownership certificates, etc;Drafting, reviewing and advising on investment co-operation contracts for various housing and real property development projects. 

Employment

• Assisting a French asphalt distributor to set up labor management procedures and policies;

• Advising a global consumer products trading company on labor matters involving their re-structure project;

• Acting as the Attorney for a football club of Vietnam in a lawsuit before FIFA (Federation International de Football Association) against an Australia Player in relation to the Club’s termination of the Employment Contract;

Insurance

• Advising and assisting a listed company in confectionary in Bien Hoa in dispute with insurer in a claim of insurance compensation for factory fire with the claim value of over US$8 Million;
  

• Advising the subsidiary in Vietnam of an Italian life insurance company on various compliance matters. 

Dispute Resolutions

• Assisting a 5-star Hotel of Vietnam in reviewing and negotiating a Gaming Business Co-operation Contract with a Malaysian Entertainment Service Company;
  
  
• Acting as the Attorney for a Filipino trading company in arbitration proceedings against a BVI supplier relating to a Steel Supply Contract valued US$4 million before the Vietnam International Commercial Arbitration;
  

• Advising a finance company to settle the dispute over a Security Investment Service Co-operation Contract with a security company with disputed value of nearly VND300 Billion.
